ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE NON-COLLATERALISED CASH-SETTLED CALL WARRANTS OVER ORDINARY SHARES OF AIRASIA BERHAD (“AIRASIA”) (“AIRASIA-CY”) DUE TO THE SPECIAL SINGLE TIER INTERIM DIVIDEND OF RM0.18 PER ORDINARY SHARE UNDER THE SINGLE-TIER SYSTEM WHICH IS TAX EXEMPT IN THE HANDS OF THE SHAREHOLDERS PURSUANT TO PARAGRAPH 12B OF SCHEDULE 6 OF THE INCOME TAX ACT, 1967 FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2012 PAYABLE IN CASH ("SPECIAL DIVIDEND").
Kindly be advised of the following :


1) The above Company's securities will be traded and quoted [ "Ex - Adjustment" ]
as from : [ 11 March 2013 ]

2) The last date of lodgement : [ 13 March 2013 ]
Remarks :- In accordance with Condition 6 of the Deed Poll dated 3 April 2012, the terms and conditions of the AIRASIA-CY shall be adjusted as set out below:
The Adjustments

(a) Adjustment Factor ("AF")

AF = (P – D) / (P)

Where:

P = being the closing price of AIRASIA immediately preceding the last market day on which AIRASIA is traded on a cum-entitlement basis.

D = RM0.18, being the Special Dividend per ordinary share.

(b) Exercise Price

The Exercise Price of AIRASIA-CY will be adjusted as determined by the following formula:

Adjusted Exercise Price = Existing Exercise Price x AF

Where:

RM2.85, being the Existing Exercise Price of AIRASIA-CY immediately prior to the Special Dividend.

(c) Warrant Component/Exercise Ratio

The Warrant Component/Exercise Ratio for the AIRASIA-CY will be adjusted as determined by the following formula:

Adjusted Warrant Component/Exercise Ratio = (1 / AF) x Existing Warrant Component/Exercise Ratio

Where:

Existing Warrant Component/Exercise Ratio immediately prior to the Special Dividend. For the avoidance of doubt, the Existing Exercise Ratio for AIRASIA-CY is 0.25 (4 warrants to 1 share).

No adjustment shall be made if the above formulas result in an adjustment to the Warrant Component/Exercise Ratio or Exercise Price which would amount to less then 2% of the Warrant Component/Exercise Ratio or Exercise Price being changed.

The Ex-date and entitlement date for the Special Dividend will be 11 March 2013 and 13 March 2013 respectively. We will announce the adjustments to the Exercise Price and the Warrant Component/Exercise Ratio for the AIRASIA-CY after 5.00 pm on 8 March 2013, being the last trading day on which AIRASIA shares are traded on cum-entitlement basis.

The adjusted Exercise Price and Warrant Component/Exercise Ratio for the AIRASIA-CY will take effect at 9.00 am on 11 March 2013, being the ex-date for the Special Dividend.

Please note that there will not be any new issuance of AIRASIA-CY on the Entitlement Date pursuant to the Special Dividend.
