We refer to the announcement made by the Company in relation to the letter of offer by Massive Equity Sdn Bhd (“MESB”) dated 14 December 2011, wherein MESB stated its intention to acquire substantially all business and undertaking of QSR, including substantially all the assets and liabilities of QSR, at an aggregate cash consideration equivalent to:-

(a) RM6.80 per ordinary share of RM1.00 each held in QSR (“QSR Share”) multiplied by the total outstanding QSR Shares (less treasury shares, if any) at a date to be determined later; and

(b) RM3.79 per warrant of QSR (“QSR Warrant”) multiplied by the total outstanding number of QSR Warrants in issue at a date to be determined later

QSR, KFCH accept JCorp offer
QSR Brands Bhd and its subsidiary KFC Holdings (M) Bhd will not seek alternative takeover offers other than that of Johor Corp (JCorp). Shareholders and warrantholders of both companies stand to get a windfall as QSR and KFCH plan to distribute cash from the sale back to them via a capital repayment exercise. Just before the close of JCorp's takeover offer, which lapsed yesterday, QSR and KFCH said their directors had agreed to accept it. (Source: Business Times)
