Kinsteel: Disclosures on Bursa Malaysia revealed that Kinsteel’s managing director Tan Sri Pheng Yin Huah, his brother Datuk Hong Tian Hock as well as Pheng family’s privately held companies Kin Kee Holdings Sdn Bhd and Perniagaan Kin Kee Sdn Bhd over the past two months had been been disposing Kinsteel shares.

The major shareholders of Kinsteel are Kin Kee Holdings Sdn Bhd with a 27.2% stake, Maju Holdings Sdn Bhd (15.8%) and the Employees Provident Fund (5.2%).

However, a source said that it was highly unlikely for Kinsteel founder Tan Sri Pheng and his group of companies to just abandon the ship especially when “the group is currently undergoing several restructuring exercise to put Kinsteel back on steady grounds.”

The changes in Kinsteel’s directors’ interests as reflected in the Bursa Malaysia announcements were not a “sell down” by the directors but it was mainly due to the transfer of shares from two entities controlled by the Pheng family to Tan Sri Pheng and his son Datuk Henry Pheng respectively.

Furthermore, the transfer of shares has no material impact on the total shareholding of the Pheng family in Kinsteel Bhd. Furthermore, from June 14 to July 18 2013, the Pheng family has, in fact, increased its shareholding in Kinsteel Bhd by 0.47%.

Kinsteel’s shares have always been perceived by investors as being too tightly held by the Pheng’s family, hence bearing an impact on the liquity of the shares traded on Bursa.

Perhaps the rationale for the trades is just one of the efforts by the Pheng family to make Kinsteel shares more liquid.

For its unaudited financial year ended Dec 31, 2012, the Kinsteel group registered a consolidated pre-tax loss of RM261.2mil on revenue of RM2.1bil.
